International tax assistance
At RGS we have a highly specialized tax team ready to provide assistance in international tax matters. We have designed and led the expansion of several Chilean companies to other parts of the world, while at the same time providing advice to foreign entities seeking to carry out activities in Chile. We aim for global tax efficiency through a deep understanding of cross-border rules, Double Taxation Conventions and Transfer Pricing regulations. Moreover, we can rely on a vast international network of professionals all over the world, which allows us to react swiftly to our clients’ requests.
Domestic tax assistance
At RGS we provide advice regarding the determination of the tax consequences of any particular business plan, while at the same time helping our clients in the design of their operations from a tax perspective. We can perform tax diagnostics for companies and groups, helping them to identify those internal processes that may require improvement. The interaction between our legal and tax compliance team is crucial in the implementation of the strategies we design.
Tax dispute resolution, administrative and tax litigation
At RGS we assist our clients with the many different procedures and petitions that may be carried out or lodged before the tax authorities. Further, in all those cases in which our clients have been notified of an adverse resolution, we can provide assistance in challenging such resolutions through the administrative resources or appeals.
Our team can also assist clients in challenging any acts issued by the tax authorities before Tax Courts, Courts of Appeal and the Supreme Court. We have an extensive experience assuming the representation of our clients in the case of tax infractions and in the negotiation of alternative solutions to tax litigation.
Tax compliance
In general, our team is prepared to provide assistance with any relevant tax compliance obligations, for domestic and multinational companies. At RGS we assist our clients in the internal control of companies, which includes auditing, reviewing and diagnosing their tax compliance situation. It also includes the determination or validation of the company’s tax result; deferred taxes; or the company’s capital. Further, our services also include the elaboration of the accounting records required by law; the preparation and filing of annual or monthly tax returns, and affidavits.
Startups and venture capital
The first few years of a business initiative may be hectic and seemingly chaotic, and the assistance required to keep a company growing needs to be quick and effective. At RGS we have developed an extensive experience assisting Chilean startups in their expansion abroad, helping them make appropriate day-to-day decisions, but also in their investment processes, at the venture capital level. Our knowledge of domestic and international tax rules along with our ability to deal with corporate law matters, provides the perfect combination for an effective assistance in the consolidation of our clients’ businesses.
Transfer pricing
We are prepared to assist our clients in the evaluation and design of their related party transactions, so as to identify opportunities that may arise from them. Our team is also prepared to provide assistance regarding transfer pricing compliance obligations, lodging affidavits, Local and Master file, in all cases based on a detailed transfer pricing analysis. We have also successfully represented clients both at the administrative and judicial level in challenging transfer pricing assessments and pricing adjustments.
M&A, corporate reorganizations and family businesses
At RGS we offer our clients the extensive experience we have in the implementation of corporate structures; mergers, demergers, acquisitions, takeovers, asset-deals and, in general, corporate reorganizations. Since each business is different, we design taylor-made solutions made to fit each particular reality.
Family companies require a deep knowledge of both the family business and the relation between the different family members. Getting to know these two elements is the key to provide efficient services. Our goal is to help family companies to set out structures capable of securing the continuity and growth of the business. Our services also comprise corporate reorganizations from a family perspective; the design of family protocols for the administration of companies; and the implementation of structures to manage family wealth.
Corporate and legal assistance
At RGS we can assist our clients in the creation, modification or liquidation of partnerships, corporations and non-profit organizations. Our team is prepared to draft and review commercial agreements; drafting deeds, minutes or any other corporate instrument; and in the custody of corporate books.
Francisco Sepúlveda
Francisco founded RGS in 2016. He obtained his PhD in International Tax Law at Leiden University, The Netherlands; his Advanced Master in Laws (LLM) in International Tax Law at the International Tax Center Leiden, The Netherlands; his Master in Taxation at the Faculty of Economics, Universidad de Talca; and his Law degree at the same university.
In the academic field, since 2013 he is a visiting lecturer at the International Tax Center, Leiden, the Netherlands. He also teaches at Universidad de Buenos Aires, Torcuato di Tella and UADE in Buenos Aires, Argentina.
Francisco has an extensive experience working as a legal and tax advisor for international and domestic clients. In the international field, his practice includes the design and implementation of structures which have allowed Chilean companies to expand globally, particularly in the technology and digital services field. At the same time, he has helped many foreign companies setting up and developing their operation in Chile, by designing tax efficient structures for inbound and outbound payments. His extensive background in Tax Treaties and Transfer Pricing and the knowledge of domestic regulations of many countries, allow him to design tailor-made solutions adjusted to the size, line of business and origin of his clients. Before founding RGS in 2016, he worked as a manager at the tax department of KPMG Chile.
Francisco has worked with companies such as DHL, Sony, Aguas Andinas, Sky Airlines, Vespucio Norte Express, AEL Mining, Barrick Chile, amongst others. Between his current clients we find Dominion Global, AssistCard, SURA, Canadian Solar, Buses VULE, BUK, uPlanner, WherEx, Keirón, VASS, Rankmi, Maxam Chile, Grupo Renergética, amongst others.
Felipe Gavilán
Felipe is a partner at RGS. After attending Universidad de Chile’s Law School, he graduated from the Master in Tax Law at the same university.
He possesses an extensive experience in tax consulting activities and, in particular, in the resolution of tax disputes, tax litigation, and criminal tax law.
Prior to joining RGS, Felipe worked as a Director, Head of the Dispute Resolution and Tax Litigation department at KPMG Chile, a firm at which he worked for 6 years. Before that, he worked for 9 years at the Juridical Sub-Direction of the Chilean Internal Revenue Service.
Among Felipe’s most relevant clients we can find Cencosud, Sony Chile, Polpaico, DHL Global Forwarding, Anglo American Chile, Credicorp Chile, Antofagasta Minerals, AES Gener, Compañía Sud Americana de Vapores, as well as other companies carrying out the main economic activities of the country.
Gonzalo Madrid
Gonzalo is a partner at RGS. He graduated as an accountant from Universidad Tecnológica Metropolitana del Estado de Chile (UTEM). He obtained his Master in Tax Direction and Planning at the School of Economics, Universidad de Talca, Chile; and a Diploma in Tax Planning at the Faculty of Economics of Universidad de Chile.
Gonzalo has an extensive experience providing tax advice to domestic and international clients, particularly in the field of tax compliance.
Prior to joining RGS, Gonzalo worked for over 4 years at KPMG. Then, he joined the Tax Compliance department of EY, where he worked for more than 5 years, becoming a Manager.
Gonzalo has focused his practice mostly to design and implement the tax compliance strategy of domestic and international clients, in highly complex scenarios. His services include the preparation and review of corporate and individual income tax determinations; deferred taxes; monthly taxes such as VAT and WHT; sworn statements and affidavits; tax assessments; tax diagnostics and due-diligence procedures. Gonzalo’s team has also implemented corporate reorganization processes, both from an accounting and a tax perspective.
Gonzalo has worked with companies such as COPEC, Cineplanet, Grupo CGE, Grupo Enaco, Portland, Nissan Chile, Compañía de Cervecerías Unidas, uPlanner, Dominion Global, amongst others.
Juan Pablo Ruiz de Gamboa
Juan Pablo is a lawyer and Master in Tax Law from Universidad de Chile. He also completed a diploma in Tax Planning at Pontificia Universidad Católica de Chile.
He has an extensive experience in tax matters, with special focus on the prevention, evaluation and solution of high-complexity tax controversies. He is also highly skilled in transfer pricing administrative assessment and litigation.
Before joining RGS, Juan Pablo was a Senior Manager at KPMG Chile, where he worked for 8 years leading interdisciplinary teams, protecting the interests of domestic and international clients.
Between Juan Pablo’s most relevant clients we can find Cornershop, Albemarle, Grupo ISS, Zurich Santander Seguros de Vida y Generales, Grupo Melón, Credicorp Chile, Cencosud, Compañía Sud Americana de Vapores, Samsung, Daewoo, Inmobiliaria y Constructora Ingevec, between other companies carrying out relevant economic activities in Chile.
Pía Slanzi
After having graduated from Universidad de Chile’s law school, Pía obtained her Master of Laws at the Queen Mary University of London. With more than 7 years of experience, she has focused her practice mostly in corporate matters, international tax law and fiduciary structures. She has an extensive experience providing advice to domestic and international entities and individuals.
Prior to her incorporation to RGS, she worked as an attorney at Balada Consultores, and Tobar & Henríquez, both entities providing legal and tax compliance services.
Rocío Palma
Rocío graduated as an accountant and auditor from Universidad Central in Chile. She has more than 7 years of experience at the professional level, focusing mostly in tax matters, accounting and HHRR. She joined the tax compliance team of RGS in 2021.
Prior to her incorporation to RGS, Rocío worked at the tax compliance team in Deloitte, where she dealt with domestic and international entities in retail, services, construction and investment activities, amongst others.
Valentina Mondaca
Valentina is a lawyer, and she obtained her law degree at Universidad de Chile’s Law School. She joined RGS in 2021, and she focuses her practice mostly in legal, corporate and tax matters, with strong emphasis on multinational tech startups.
Prior to her incorporation to RGS, she worked at Molina Guerra Abogados, and at Rivadeneira, Colombara & Zegers.
Daniela Ponce
Daniela graduated from Universidad de Chile’s Law School. She joined RGS in 2022, focusing her practice in general corporate matters, and corporate reorganizations.
Prior to her arrival to RGS, she worked as a research assistant at the Constitutional Court of Chile.
Álvaro Zurita
Álvaro is an accountant and auditor who graduated from Universidad de Valparaíso in Chile.
He joined RGS in 2020, and since his arrival he has focused in tax compliance matters, while also providing tax advisory services.
Sofía Salinas
Sofía studied accounting and auditing at Universidad de Valparaíso.
She joined RGS in 2021, and she provides services in the tax compliance department, while at the same time working as a tax advisor.
Martina Queirolo
Martina is a lawyer from Universidad de Chile’s Law School. He joined RGS in 2022, working in legal, corporate and tax advice, with a special focus on international technology startups.
Michelle Barrios
Michelle joined RGS in 2022 as an administrative assistant.
Fernando Torres
Fernando joined RGS in 2023.
He graduated as an accountant from Universidad Diego Portales. He obtained a Diploma in Tax Analysis at the Law Faculty of Universidad Adolfo Ibañez, Chile.
Fernando has an extensive experience providing tax advice to domestic and international clients, particularly in the field of tax compliance. He has also worked as an external auditor of financial statements.
Prior to joining RGS, Fernando worked at the tax compliance department at KPMG. Before that, he worked at Deloitte and VGM Consultores.
Fernando has focused his practice mostly in tax matters relevant for domestic and international clients, mainly in the field of tax compliance. He has also provided assistance in the review of yearly and monthly tax determinations, deferred taxes, withholding taxes, sworn statements, tax assessments before the IRS; the preparation and review of corporate and individual income tax determinations; tax diagnostics and due-diligence procedures.
Fernando has worked with companies such as Banco Santander, Banco de Crédito e Inversiones, Banco Bice, Banco Estado, MetLife, VTR, Despegar, Penta Vida, Grupo de Autopistas, Global Vía, Metrogas, Virutex, amongst others.
Ignacio López
Ignacio has studies in public accounting and auditing at Universidad Tecnológica Metropolitana del Estado de Chile, UTEM.
He joined RGS in 2023, and since his arrival he has focused in tax compliance matters, while also providing tax advisory services.
